Click N Ring Sdn Bhd. connects people surfing the website with the owners of website through computers and telephones to enable them to make enquires. By registering to be our Dealer or Master Dealer or registering to use our products and services, you agree to be bound by these Terms of Service (this "Agreement" or TOS). This Agreement sets out the legally binding terms of your use of the Website and its offline features and your membership in the Service and may be modified by Click N Ring Sdn. Bhd. at any time and without prior notice, such modifications to be effective upon posting by Click N Ring Sdn. Bhd. on this Website. This Agreement includes Click N Ring Sdn. Bhd.'s acceptable use policy for content posted on the Website, Click N Ring Sdn. Bhd.'s Privacy Policy, and any notices regarding the Website. 1)Description of Service, now known or hereafter developed, includes, but is not limited to, the use of Click N Ring Sdn. Bhd.�s website (www.clicknring.com), the use of a single click to activate a telephone, the use of web call booking and the use of SMS call booking. You also understand and agree that the Service may include advertisements and that these advertisements are necessary for Click N Ring Sdn Bhd. to provide the Service. You also understand and agree that the Service may include certain communications from Click N Ring Sdn. Bhd., such as service announcements, administrative messages and the Click N Ring Sdn. Bhd. Newsletter, and that these communications are considered part of Click N Ring Sdn. Bhd. membership and you will not be able to opt out of receiving them. Unless explicitly stated otherwise, any new features that augment or enhance the current Service, including the release of new Click N Ring Sdn. Bhd. properties, shall be subject to the TOS. You understand and agree that the Service is provided "AS-IS" and that Click N Ring Sdn. Bhd. assumes no responsibility for the timeliness, deletion, mis-delivery or failure to store any user communications or personalization settings. You are responsible for obtaining access to the Service and that access may involve third party fees (such as Internet service provider or airtime charges). You are responsible for those fees, including those fees associated with the display or delivery of advertisements. In addition, you must provide and are responsible for all equipment necessary to access the Service. 2)Eligibility You must be eighteen or over to register with Click N Ring Sdn. Bhd. or use the Website or its other offline features. Click N Ring Sdn. Bhd. s offline features refer to its SMS Call Booking and Web Call Booking facilities to get in touch with each other using telephones instead of the website. Membership in the Service is void where prohibited. By using the Website, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement and to abide by all of the terms and conditions of this Agreement. 3)Account Number and Password You will receive an Account Number (also known as CNR phone number) and a password upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the account and password, and are fully responsible for all activities that occur under your account or password. You agree to (a) immediately notify Click N Ring Sdn. Bhd. of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit or log out from your account at the end of each session. Click N Ring Sdn. Bhd. cannot and will not be liable for any loss or damage arising from your failure to comply with this Section. 4)Termination This Agreement will remain in full force and effect while you get in touch with your Phone Pals either by using your computer or your telephone. You may terminate your subscription at any time, for any reason by following the instructions on the Cancel Account page in Account Settings. Click N Ring Sdn. Bhd. may terminate your membership for any reason, at any time. If Click N Ring Sdn. Bhd. terminates your subscription in the Service because you have breached the Agreement, you will not be entitled to any refund of unused subscription fees. Even after membership is terminated, this Agreement will remain in effect. You represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws of the Malaysia or other applicable jurisdiction. You also agree to: (a) provide true, accurate, current and complete information about yourself as prompted by the Service's registration form (such information being the "Registration") and (b) maintain and promptly update the Registration to keep it true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or Click N Ring Sdn. Bhd. has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, Click N Ring Sdn. Bhd. has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof). 5)Non Commercial Use The Website is for the personal use of individual Members only and may not be used in connection with any commercial endeavors. Organizations, companies, and/or businesses may not become Members and should not use the Service or the Website for any purpose. Passwords and compiled names, photos, links, and Website content are not to be transferred or copied from the Website for use with any other product or Service. Illegal and/or unauthorized uses of the Website, including collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email and unauthorized framing of or linking to the Website will be investigated, and appropriate legal action will be taken, including without limitation, civil, criminal, and injunctive redress. 6)Proprietary Rights in Content Click N Ring Sdn. Bhd. owns and retains all proprietary rights in the Website and the Service. The Website contains the copyrighted material, including links and compilations of individual data, trademarks, and other proprietary information of Click N Ring Sdn. Bhd., and its licensors. You may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information except for that information which is in the public domain or for which you have been given written permission,. 7)You understand and agree that Click N Ring Sdn. Bhd. may review and delete any content, messages, photos, profiles or sound files (collectively, "Content") that in the sole judgment of Click N Ring Sdn. Bhd. violate this Agreement or which might be offensive, illegal, or that might violate the rights, harm, or threaten the safety of other Club Members. 8)The particulars that you submit must describe you, an individual person. Examples of inappropriate profiles include, but are not limited to, profiles that offend other Click N Ring Community Members. 9)You are solely responsible for the Content that you publish or display (hereinafter, "post") on the Service, or transmit to other Members. 10)Click N Ring Sdn. Bhd. does not claim ownership of Content you submit or make available for inclusion on the Service. However, with respect to Content you submit or make available for inclusion on publicly accessible areas of the Service, you grant Click N Ring Sdn. Bhd. the world-wide, royalty free and non-exclusive license(s). By posting Content to any public area of Click N Ring Sdn. Bhd., you automatically grant, and you represent and warrant that you have the right to grant, to Click N Ring Sdn. Bhd. an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display, and distribute such information and content and to prepare derivative works of, or incorporate into other works. 11)You understand that the Service and software embodied within the Service may include security components that permit digital materials to be protected, and use of these materials is subject to usage rules set by Click N Ring Sdn. Bhd. and/or content providers who provide content to the Service. You may not attempt to override or circumvent any of the usage rules embedded into the Service. Any unauthorized reproduction, publication, further distribution or public exhibition of the materials provided on the Service, in whole or in part, is strictly prohibited. 12)The following list is just a partial list of the kind of Content that is deemed illegal or prohibited on the Website. Bhd. reserves the right to investigate and take appropriate legal action in its sole discretion against anyone who violates this provision, including without limitation, removing the offending communication from the Service and terminating the membership of such violators. It includes Content or behaviour that: is offensive to the online community, such as Content or behaviour that promotes racism, bigotry , hatred or physical harm of any kind against any group or individual; stalks or harasses or advocates harassment of another person; involves the transmission of "junk mail", "chain letters," or unsolicited mass mailing or "spamming"; promotes information either verbal or posting that you know is false, misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous; promotes an illegal or unauthorized copy of another person's copyrighted work, such as providing pirated computer programs or links to them, providing information to circumvent manufacture-installed copy-protect devices, or providing pirated music or links to pirated music files; contains restricted or password only access pages, or hidden pages or images (those not linked to or from another accessible page) ; displays pornographic or sexually explicit material of any kind or utter vulgar words; provides material that exploits people under the age of 18 in a sexual or violent manner, or solicits personal information from anyone under 18; provides instructional information about illegal activities such as making or buying illegal weapons, violating someone's privacy, or providing or creating computer viruses; solicits passwords or personal identifying information for commercial or unlawful purposes from other users; and engages in commercial activities and/or sales such as contests, sweepstakes, barter, advertising, and pyramid schemes without prior written consent; solicits people you don't know to add you or accept you as a friend on Click N Ring Sdn. Bhd.. 13)In the event that you might become exposed to such items or behaviour, you waive your right to any damages (from any party) related to such exposure. 14)You shall use the Service in a manner consistent with any and all applicable laws and regulations. 15)You shall not engage in advertising to, or solicitation of, other Members to buy or sell any products or Services through the Service. You may not transmit any chain letters or junk email to other Community Members. Although Click N Ring Sdn. Bhd. cannot monitor the conduct of its Community Members off the Website, it is also a violation of these rules to use any information obtained from the Service in order to harass, abuse, or harm another person, or in order to contact, advertise to, solicit, or sell to any Member without their prior explicit consent. Click N Ring Sdn. Bhd., Inc. reserves the right, but has no obligation, to monitor disputes between you and other Community Members. 19)Members Good Conduct Click N Ring Sdn. Bhd does not, in any way express or otherwise, guarantee the good conduct of its registered members or non-registered members. You shall not reveal your name, your telephone numbers, your street addresses, URLs or email addresses in your conversation with your Phone Pals or include them in your Member profile. You shall not meet, intentionally or otherwise, with your Phone Pals. You understand and agree that Click N Ring Sdn. Bhd. shall not be liable to you or to any third party for any damages arising from such meetings. The phrase "Let the Phone Pals beware" is apt. 20)Privacy Use of the Web site and/or the Service is governed by our Privacy policy. Registration Data and certain other information about you is subject to our Privacy Policy. You understand that through your use of the Service you consent to the collection and use (as set forth in the Privacy Policy) of this information, including the transfer of this information to the Malaysia and/or other countries for storage, processing, and use by Click N Ring Sdn. Bhd. and its affiliates. 21)Disruption of Service Click N Ring Sdn. Bhd. reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that Click N Ring Sdn. Bhd. shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service. 22)Disclaimers of Warranty Click N Ring Sdn. Bhd. MAKES NO WARRANTY THAT (i) THE SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS, AND (V) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS. 23)Disclaimers Click N Ring Sdn. Bhd. is not responsible for any incorrect or inaccurate Content posted on the Website or in connection with the Service, whether caused by users of the Website, Club Members or by any of the equipment or programming associated with or utilized in the Service. Click N Ring Sdn. Bhd. is not responsible for the conduct, whether online or offline, of any user of the Website or Club Member of the Service. Click N Ring Sdn. Bhd. assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, user or Community Members communications. Click N Ring Sdn. Bhd. is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of email or players on account of technical problems or traffic congestion on the Internet or at any Website or combination thereof, including injury or damage to users and/or Community Members or to any other person's computer related to or resulting from participating or downloading materials in connection with the Web and/or in connection with the Service. Under no circumstances will Click N Ring Sdn. Bhd. be responsible for any loss or damage, including personal injury or death, resulting from anyone's use of the Website or the Service, any Content posted on the Website or transmitted to Community Members, or any interactions between users of the Website, whether online or offline. The Website and the Service are provided "AS-IS" and Click N Ring Sdn. Bhd. expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Click N Ring Sdn. Bhd. cannot guarantee and does not promise any specific results from use of the Website and/or the Service. The Service may be temporarily unavailable from time to time for maintenance or other reasons. No advice or information, whether oral or written, obtained by user from Click N Ring Sdn. Bhd. or through or from the Service shall create any warranty not expressly stated herein. 24)Limitation on Liability In no circumstances will Click N Ring Sdn. Bhd. be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including also lost profits arising from your use of the Website or the Service, even if Click N Ring Sdn. Bhd. has been advised of the possibility of such damages except in jurisdictions where such provisions are restricted. Notwithstanding anything to the contrary contained herein, Click N Ring Sdn. Bhd.'s liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Click N Ring Sdn. Bhd. for the Service during the term of membership. 25)Disputes If there is any dispute about or involving the Website and/or the Service, by using the Website, you agree that the dispute will be governed by the laws of Malaysia without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts of Malaysia. 26)Indemnity You agree to indemnify and hold Click N Ring Sdn. Bhd., its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorney's fees, made by any third party due to or arising out of your use of the Service in violation of this Agreement and/or arising from a breach of this Agreement and/or any breach of your representations and warranties set forth above 27)No Agency There is no agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship between Click N Ring Sdn. Bhd. and any User of the Service. 28)Third Party Beneficiaries You agree that, except as otherwise expressly provided in this TOS, there shall be no third party beneficiaries to this Agreement. 29)Dealings With Advertisers Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that Click N Ring Sdn. Bhd. shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service. 30)Others Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from Malaysia or the country in which you reside. 31)Others This Agreement, accepted upon use of the Website and further affirmed by becoming a Club Member, contains the entire agreement between you and Click N Ring Sdn. Bhd. regarding the use of the Website and/or the Service. The failure of Click N Ring Sdn. Bhd. to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. 32)Entire Agreement The TOS constitutes the entire agreement between you and Click N Ring Sdn. Bhd. and governs your use of the Service, superseding any prior agreements between you and Click N Ring Sdn. Bhd. with respect to the Service. You also may be subject to additional terms and conditions that may apply when you use or purchase certain other Click N Ring Sdn. Bhd. services, affiliate services, third-party content, or third-party software. 33)Choice of Law and Forum The TOS and the relationship between you and Click N Ring Sdn. Bhd. shall be governed by the laws of Malaysia without regard to its conflict of law provisions. You and Click N Ring Sdn. Bhd. agree to submit to the personal and exclusive jurisdiction of the courts located within Malaysia. 34)Statute of Limitations You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or the TOS must be filed within one (1) year after such claim or cause of action arose or be forever barred.
